1. Introduction
These Terms of Service (“Terms”) govern the provision of marketing services (“Services”) by [Ted Chen, Marketed] (“Freelancer,” “I,” “me,” or “my”) to the client (“Client,” “you,” or “your”). By engaging my services, you agree to be bound by these Terms.

2. Services Provided
I offer marketing services including but not limited to digital marketing, ad design, content creation, website projects, and related consulting. Specific deliverables, timelines, and project scope will be outlined in a separate agreement or proposal.

3. Client Responsibilities
You agree to provide all necessary information, materials, and approvals promptly to enable me to deliver Services efficiently. Failure to provide required inputs may result in project delays. Communication for feedback and approvals are to be via emails. The client is responsible for ensuring they have the rights to use all materials provided and accepts full responsibility for the content they submit.

4. Fees and Payment
Fees for Services will be set forth in the agreement or proposal. Payment terms may include deposits, milestone payments, or final payments. Invoices are payable within 14 days of receipt unless otherwise stated. Late payments may incur interest or result in suspension of Services.

5. Revisions and Changes
The scope of the project is defined in the agreement. Requests for additional work beyond the agreed scope may be subject to additional fees and timelines. Reasonable revisions are included as specified in the agreement.

6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement unless required by law or with prior consent.

7. Intellectual Property
Only the approved deliverables included in the accepted quote are owned by the client. Any concepts, drafts, and design files remain the property of the service provider unless otherwise agreed. I retain ownership of all pre-existing intellectual property and materials used in delivering the services. Upon full payment, rights to the final deliverables created specifically for you will be transferred to you, excluding underlying tools, templates, or methodologies, which remain my property.

8. Termination
Either party may terminate the agreement with 14 days’ written notice. Upon termination, you agree to pay for Services performed up to the termination date. I reserve the right to cease work until outstanding payments are made.

9. Liability
I provide Services based on reasonable skill and care, but do not guarantee specific results. I am not liable for direct, indirect, incidental, or consequential damages. I am not liable for the performance and delivery of third-party providers such as, but not limited to, ad platform, channels and technology providers.

10. Governing Law
These Terms and any disputes arising shall be governed by the laws of New Zealand, without regard to conflict of law principles.

11. Amendments
I reserve the right to update these Terms at any time. Continued use of Services after changes constitutes acceptance of the revised Terms.

12. Acceptance
By engaging my marketing services, you acknowledge that you have read, understood, and agree to these Terms of Service.
